HealthLab Innovations Inc. ("HealthLab," "we," "us," or "our") manages a website for itself or on behalf of clients. The site is located at www.healthlab.com or other client website addresses as provided (the "Website"). This Website, along with any related mobile application ("App"), is collectively referred to as the "Sites." The purpose of the Sites is to provide registered users with our "Services." By using the Sites and Services, including all information, tools, and features available, you agree to these terms and conditions ("Terms of Service" or "Terms"), along with any additional terms and policies referenced here or accessible via hyperlink.


By accessing or interacting with the Sites, or purchasing anything from us, you engage in our Services and agree to these Terms of Service. These Terms apply to all users of the Sites, including browsers, vendors, customers, merchants, and content contributors.


Please read these Terms of Service carefully before accessing or using our Sites. By using any part of the Sites, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, you may not use the Sites or Services.


Any new features or tools added to the Sites will also be subject to the Terms of Service. We reserve the right to update, change, or replace any part of these Terms of Service by posting updates and/or changes to our website and notifying users who have provided their email addresses. It is your responsibility to check this page periodically for changes. Your continued use of the Sites following the posting of any changes indicates acceptance of those changes. Any modifications will be posted here or similar pages of the Sites, or emailed to the address associated with your User Account, and will be effective as of their stated effective or modification date.

Accounts and Membership

You must be at least 18 years old to use the Sites. By using the Sites and agreeing to these Terms, you confirm that you are at least 18 years of age. If you create an account on the Sites, you are responsible for maintaining the security of your account and all activities under the account. We may, but are not obligated to, review new accounts before you can sign in and use our Services. Providing false contact information may result in the termination of your account. You must immediately notify us of any unauthorized uses of your account or any other security breaches. We will not be liable for any acts or omissions by you, including damages of any kind resulting from such acts or omissions. We may suspend, disable, or delete your account if we determine that you have violated any part of this Agreement or if your conduct or content could harm our reputation and goodwill. If we delete your account for these reasons, you may not re-register for our Services. We may block your email address and IP address to prevent further registration.

Privacy


HealthLab is committed to protecting your privacy. By using the Sites and Services, you agree to our Privacy Policy, which can be viewed at https://www.healthlab.com/privacy.

HealthLab is not a Healthcare Provider

HealthLab is a software company that facilitates connecting users to third-party solutions that can promote a healthy lifestyle and support users in maintaining or improving their wellness. HealthLab itself is not a healthcare provider, and our Services are not intended for diagnosing, treating, curing, or preventing any disease or medical condition. By using our Sites and Services, you agree not to use or rely on them for any medical purpose. All medical decisions should be made in consultation with your physician.

Consent to Telemedicine Services

Telemedicine uses electronic communications to enable healthcare providers in different locations to share patient medical information to improve care.

With your explicit consent, HealthLab may collect health data from you on behalf of a third-party telemedicine provider for the purposes to which you consent. Any data shared between HealthLab and a third-party telemedicine provider will be protected by strict security protocols.

HealthLab may also display third-party health data you consent to share with HealthLab through the App.

Your Relationship with HealthLab

As stated in the section "HealthLab is not a Healthcare Provider," HealthLab does not offer medical services, including via the Sites and Services. Any wellness resources provided by HealthLab are not for diagnosing, treating, curing, or preventing any disease or medical condition and should not be used as such.

You should not use the Sites or Services as a substitute for healthcare from a licensed provider. HealthLab does not provide medical advice, diagnosis, or treatment recommendations. The third-party telemedicine providers are solely responsible for the medical services they offer. Decisions about diagnosis, prescriptions, and treatments should be made between you and your healthcare provider. During any communication or consultation with a provider via the Services, you are not establishing a provider-patient relationship with HealthLab.

By accepting these Terms, you agree to receive disclosures, notices, messages, reports, and other communications from HealthLab or its affiliates, which you are responsible for monitoring. You agree not to hold HealthLab or its affiliates liable for any loss, injury, or claim resulting from your failure to monitor, read, or interact with these communications or comply with any recommendations.

Content

The information presented on or through the Services is for general informational purposes only. We do not guarantee the accuracy, completeness, or usefulness of the information. Reliance on such information is at your own risk. The Services may provide health and wellness information, but HealthLab does not provide medical advice and should not be used for any clinical decisions or actions. Medical advice should always be sought from a qualified healthcare practitioner. We disclaim all liability and responsibility arising from any reliance on such materials and information by you.

Permitted Uses of the Sites and Services

Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, non-sharable, non-sublicensable, revocable, limited license to use the Sites and Services for personal, non-commercial, non-medical use. This license does not include the right to (a) sell or use the Sites or Services for commercial purposes; (b) copy, reproduce, distribute, or publicly display the Sites or Services; (c) modify the Sites or Services, remove any proprietary rights, notices, or markings, or create derivative uses of the Sites or Services; (d) use data-mining, robots, artificial intelligence, or similar data-gathering methods; or (e) use the Sites or Services for any purpose other than their intended use.

Reservation of Rights

Nothing in this Agreement limits HealthLab's rights, titles, or interests in the Sites, App, User Materials, or any elements or derivatives thereof.

Billing and Payments

You must pay all fees or charges to your account in accordance with the current fees, charges, and billing terms at the time a fee or charge is due. If auto-renewal is enabled for your subscribed Services, you will be automatically charged according to the selected term. We reserve the right to verify your identity for purchases, which may include requesting valid government-issued photo identification and possibly a recent bank statement for the credit or debit card used. We reserve the right to change product pricing at any time and to refuse any order. We may limit or cancel quantities purchased per person, household, or order, including those placed under the same customer account, credit card, and/or billing or shipping address. If we make changes to or cancel an order, we may notify you via the email or billing address/phone number provided at the time of order.

Special Note on Users of Insurance


Unless otherwise noted, HealthLab products and services are available on a cash-pay basis only. Unless previously arranged, we do not accept insurance payments, bill, or submit claims to insurance companies. We are not a provider of health insurance or benefits though we may facilitate connecting third-party services and solutions to health insurers or benefit managers.

Termination

We reserve the right to terminate or suspend your account and access to the Sites or Services immediately, without prior notice or liability, if you breach any term of this Agreement or for any other reason. Upon termination, your right to use the Sites or Services will immediately cease. If you wish to terminate your account, discontinue using the Sites or Services. All provisions of this Agreement which should survive termination will do so, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Indemnification

You agree to defend, indemnify, and hold harmless HealthLab and its affiliates, officers, directors, employees, contractors, agents, licensors, suppliers, and successors from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from (a) your use or misuse of the Sites or Services; (b) your User Materials; (c) your violation of these Terms; (d) your violation of any rights of another party, including intellectual property rights; and (e) any other party's access and use of the Sites or Services with your unique username, password, or other security code.

Limitation of Liability


To the fullest extent permitted by law, HealthLab, its affiliates, officers, directors, employees, contractors, agents, licensors, suppliers, or successors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the Sites or Services; (b) any unauthorized access to or use of our servers or personal information stored therein; (c) any interruption or cessation of transmission to or from the Sites or Services; (d) any bugs, viruses, or harmful code transmitted through the Sites or Services; (e) any content or conduct of any third party on the Sites or Services; or (f) any other matter relating to the Sites or Services. HealthLab’s total liability for all claims arising out of or relating to these Terms or your use of the Sites or Services shall not exceed the amount you paid for using the Sites or Services in the six (6) months preceding the claim.

Governing Law

These Terms of Service and any separate agreements for our Services shall be governed by and construed in accordance with the laws of Delaware, without regard to its conflict of law principles.

Dispute Resolution

Any dispute or claim related to your use of the Sites or Services, or to any products or Services sold by HealthLab or through the Sites, will be resolved by binding arbitration, not in court. You agree that any dispute arising from these Terms or the Sites or Services shall be resolved exclusively by binding arbitration under the American Arbitration Association (AAA) rules. Any arbitration will take place in Wilmington, Delaware, and will be conducted by a single arbitrator. The arbitrator may award only equitable relief and no damages, with each party bearing its own legal costs and expenses. You agree to arbitrate individually and not as part of a class action. The arbitration results will be final and binding.

Miscellaneous

This Agreement, along with all other referenced agreements, policies, and guidelines, constitutes the entire agreement between you and HealthLab regarding the use of the Sites and Services and supersedes all prior agreements, proposals, or communications between you and HealthLab. If any provision of this Agreement is found invalid or unenforceable, it will be limited or eliminated to the minimum extent necessary, so the Agreement remains in effect. HealthLab's failure to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision. Any waiver will be effective only if in writing and signed by a duly authorized representative of HealthLab. Any cause of action you may have arising from your use of the Sites or Services must commence within one year after the cause of action arises, or it will be barred. You may not assign or transfer this Agreement without HealthLab’s prior written consent. Any attempt to assign or transfer without consent will be null and void. HealthLab may freely assign or transfer this Agreement. This Agreement will bind and benefit the parties, their successors, and permitted assigns.
